
1. Contract: The client's approval for work to commence shall be deemed a contractual agreement between the client and KronWeb. Important: By approving the work the client accepts these terms and conditions.
2. Material: All material supplied by the client shall remain the client's property. It will be assumed that this material belongs to the client and that it does not breach any copyright laws. KronWeb will not be held responsible for the physical content of any website produced on behalf of any client. Further more, KronWeb will not publish to any server on the Internet any site that contains adult material of a pornographic or offensive nature. KronWeb will not be held liable for any product or service that is sold over any web site that is published or designed by KronWeb. If faulty goods or services are exchanged, the liable will fall on the company/persons who commissioned the build and/or publishing of the site concerned.
3. Artwork: All artwork supplied becomes property of the client on completion of payment. KronWeb reserves the right to publish such artwork for advertising purposes.
4. Domain Names: Domain names registered on the Customer's behalf are at no time the property of the Customer. Upon registration of a domain name the customer acquires the right to use the domain name for the period agreed but does not hold title to it. Where KronWeb have registered the domain name on the customer's behalf this domain name will be registered to KronWeb. KronWeb agree to transfer this domain to the customer or his/her agent when asked to do so providing that all accounts have been settled. (NOTE: There is normally no charge for a domain name transfer.)
5. Hosting: KronWeb agree to provide hosting with third party providers. A 30% fee will be charged for web hosting and email account set up.
6. Email: KronWeb is not liable for any disruption to the web site or email accounts that are due to a fault with the hosting company. Where hosting is arranged, KronWeb will provide email account details but will not be responsible for administering accounts at the client's premises.
7. Registration Charges: All third party costs arising from the registration of a domain name shall be met by the Client and are payable to KronWeb before a formal application for registration is made. This is included in the standard invoice issued after approval for work to commence.
8. Agreed Time Scales: Should the client fail to provide the agreed material within the agreed time scale causing the project to slip beyond the agreed completion date KronWeb shall reserve the right to make additional charges. Should the client fail to provide the information within one month of the agreed date then KronWeb will consider that the client has cancelled the project. In these circumstances the client will be liable for the work that has taken place. (KronWeb cannot allow projects to drag on indefinitely affecting their ability to complete work for other clients.)
9. Copyright: KronWeb will retain the copyright of any material, including the source code, created for the client by KronWeb until payment of the final invoice. At this time it will become the property of the client.
10. Search Engine Submission: KronWeb are not responsible for the client's on-going web site promotion. Should the client require the site to be promoted a separate contract must be agreed. KronWeb can make no guarantees about the success of any promotion activity as this is controlled by the search engines.
11. Cancellation: Should the client wish to cancel at any point during the process they shall remain liable for the work that has taken place and shall be invoiced accordingly.
12. Travel Time and Expenses: Travelling time to and from customer premises is not generally included in our estimate. KronWeb reserves the right to make a charge for travelling time at our normal consultancy rates. Likewise KronWeb reserves the right to charge for travelling expenses based on $40 per mile. (NOTE: No charge will be made for travelling time or expenses incurred before the approval for work to commence.)
13. Quotations: The price quoted to the client is for the work agreed on the quotation only. Should the client decide that changes are required, as the site is developed, the cost of any additional work will be added to the price quoted and this will appear on the final invoice.
14. Payment terms: Payment is currently accepted only by checks US Dollard, unless otherwise agreed. If your check is returned by the bank as unpaid for any reason, you will be liable for a "returned check" charge of $35.
15. Payment: Payment is due where stated after each review period as outlined in the proposal. KronWeb reserves the right not to continue with the project until payment has been credited to our account. Payment will be due within 14 days of final invoice. Full publication of the Web Pages may take place only after full payment has been received. Any material previously published may be removed and deleted if payment is not received. Accounts that have not been settled within 7 days of our final reminder will incur a late payment charge of 10% of the amount outstanding. You will also be charged statutory interest of 8% above the reference rate (fixed for the six month period within which date the invoices became overdue) pursuant to the late payment legislation.
16. Additional services: Updates, image scanning, digital photographs, search engine registration or any other form of extra facility may be agreed during the set-up of the contract or can be obtained at any period there after. The fees charged for these 'extra's' will be agreed during the contract signing.
17. Data protection: Any data retrieved by KronWeb on behalf of any client for the purpose of building and maintaining websites or for the general running of daily accounts and client database records will be held on KronWeb' databases and will not be shared with any other organisation and/or company. This data will be kept under password protected locations and from time to time may be backed up to password protected CD ROM's.
Notes:
Should KronWeb waive any of these terms on an individual basis, this shall not affect the validity of remaining clauses or commit KronWeb to waive the same clause on any other occasion.
By agreeing to these terms and conditions your statutory rights are not affected.
KronWeb reserves the right to change or modify any of the terms or conditions contained within these Terms and Conditions.
